These General Terms and Conditions govern your use of the WoopDrive mobile application, website(s), and related services. By tapping "I Agree" (or equivalent) in the app, you enter into a legally binding agreement with WoopDrive. If you do not agree, do not use the Platform.

This document works alongside our Privacy Policy and Cookies Policy. We recommend reading all three.

1.Definitions

WoopDrive / We / Us: RSInvestment Group OU, Harju maakond, Tallinn, Kesklinna linnaosa, Narva mnt 5, 10117, Estonia, registration code 14173840, operating under the trademark WOOPDRIVE, including its branches and affiliates where applicable.

User / You: an individual consumer or business client using the Platform.

Services: services provided through the Platform, including (without limitation):

  • Keyless Rental Services: enabling Users to discover, book, access (including digital key), and pay for vehicles offered by third-party providers.
  • Fuel and Partner Services: ordering or administering fuel cards (where offered), facilitating access to partner prices, benefits, reports, and related account functionality.
  • Customer support, verification, fraud prevention, billing, and communications.

Vehicle Provider / Partner: any third party (rental company, fleet owner, car-sharing operator, fuel or road services partner, payment provider, etc.) that sells or provides goods or services to you. Rental Agreement: the agreement between you and the Vehicle Provider for vehicle use (including pricing, deposit, insurance, mileage, penalties). Digital Key / Keyless Access: access credentials (Bluetooth, NFC, QR, telematics commands) enabling you to unlock or start a vehicle. Fees: amounts payable to WoopDrive and/or Partners, including subscription or payment plan fees, service fees, delivery fees, booking fees, and other charges displayed in the Platform. Wallet: if offered, a stored-value or payment functionality enabling top-ups and payments. Personal Data: has the meaning in applicable data protection laws (e.g. GDPR, relevant GCC data protection regimes). STC (Special Terms): specific commercial or provider-specific terms that supplement these Terms (e.g. subscription plan, fleet or rental specific terms). If a conflict exists, STC prevails for that scope.

2.Scope and Contracting Model (Marketplace / Intermediary)

Platform role. Unless explicitly stated otherwise, WoopDrive acts as a technology and service intermediary that enables you to access Partner offerings. Partners are generally responsible for providing the underlying goods and services (e.g. vehicles, fuel, toll products).

Separate Rental Agreement. When you book a vehicle, you typically enter into a Rental Agreement directly with the Vehicle Provider. WoopDrive may collect payments as agent or processor where permitted and as described in the Platform.

Information accuracy. We strive to keep listings, pricing, availability, and partner networks up to date, but these may change. Final terms shown at booking (and the Partner's Rental Agreement) control.

3.Eligibility, Account, and Verification (KYC)

Eligibility. You must be at least 18 (or the legal driving age where you use the Services) and hold a valid driving licence appropriate for the vehicle class. Some vehicles or partners may require higher minimum age or driving experience.

Account security. You are responsible for all activity on your account and must keep login and device access secure. Notify us immediately of any suspected compromise.

Verification. We and/or Partners may require identity and licence verification (including selfies, document scans, sanctions or PEP checks, fraud checks) to comply with law and prevent misuse. We may refuse service if verification fails or risk is high.

Accurate information. You must provide true, complete, and current information and promptly update changes (contact details, licence status, payment details).

4.Keyless Access, Telematics, and Device Requirements

Digital key use. Digital Keys are personal to you. You must not share, transfer, copy, or circumvent access credentials.

Device and connectivity. Keyless Access may require Bluetooth, location permissions, mobile data, and a compatible device or operating system. Availability may be affected by connectivity, vehicle telematics, or maintenance.

Telematics. Vehicles may use telematics (GPS or location, mileage, driving events, fuel or charge level, diagnostics, access logs) for rental operation, billing, safety, theft prevention, claims, and regulatory compliance.

No tampering. You must not disable, interfere with, or tamper with telematics, immobilizers, trackers, keys, or vehicle electronics.

5.Bookings, Start and End of Rental, and Vehicle Handover Rules

Booking confirmation. A booking is confirmed when shown as confirmed in the Platform and/or you receive confirmation.

Start procedure. You must follow in-app steps (identity checks, vehicle condition photos, damage reporting, fuel or charge confirmation).

End procedure. You must end the rental in the correct location or zone, secure the vehicle, return keys and accessories (if any), and complete in-app checkout steps.

Late return. Late returns may incur extra charges and penalties per the Partner's terms or the booking screen.

6.User Obligations and Prohibited Use

You must use vehicles responsibly, legally, and in accordance with the Rental Agreement, these Terms, and all applicable traffic laws.

Prohibited (non-exhaustive):

  • Driving under the influence of alcohol or drugs, or with impairment.
  • Allowing an unauthorized driver to operate the vehicle.
  • Racing, towing (unless explicitly allowed), off-roading (unless permitted), or using the vehicle for illegal acts.
  • Transporting hazardous or illegal goods; using the vehicle for subletting, ride-hailing, courier services, or commercial use unless expressly allowed.
  • Smoking or vaping in the vehicle if prohibited; excessive soiling; transporting pets if prohibited.
  • Leaving the vehicle unlocked, keys inside (if any), or failing to take reasonable security measures.

7.Pricing, Fees, Deposits, Payments, and Chargebacks

Displayed pricing. Prices and Fees are shown in the Platform before you confirm. Taxes (VAT or local equivalents) are included or shown as applicable.

Deposit and pre-authorization. Partners may require a deposit or card pre-authorization. You authorize WoopDrive and/or Partners to place, adjust, and release deposits per applicable terms.

Additional charges. You may be charged for: fuel or charging deficits, cleaning, smoking, damage, missing equipment, towing, fines administration, late returns, zone violations, mileage overages, and other Partner-defined items.

Payment methods. You must maintain valid payment methods. Failed payments may result in account suspension and debt collection.

Chargebacks. If you initiate a chargeback without valid grounds, we may suspend your account and recover associated costs and unpaid amounts.

8.Accidents, Damage, Theft, Fines, and Claims

Accidents and incidents. You must follow in-app instructions, contact emergency services where required, notify the Vehicle Provider and/or WoopDrive promptly, and cooperate in claims handling.

Damage reporting. Failure to report pre-existing damage at start may result in liability for that damage.

Liability and deductible. Your liability for vehicle damage or theft is governed by the Rental Agreement and insurance terms and may include a deductible or excess.

Fines and tolls. You are responsible for parking tickets, speeding fines, tolls, congestion charges, vignettes (unless included), and related admin fees.

Evidence. You must provide requested evidence (photos, documents, police reports). Claim windows may apply.

9.Cancellations, Withdrawal Rights, and Refunds

Cancellation policy. Cancellation fees and conditions are shown at booking and/or in the Partner's terms.

EU consumer withdrawal. Where applicable, EU consumer law may provide a withdrawal right for certain contracts, but it may not apply once the service is scheduled or performed (e.g. time-specific vehicle rental). Mandatory consumer rights always remain unaffected.

Refund timing. Approved refunds are processed to the original payment method unless otherwise required by law.

10.Fuel Card and Partner Goods (If Offered)

This section applies where WoopDrive provides fuel cards or discount programs in your market.

Partner responsibility. Partners are responsible for quality and lawful supply of Goods (fuel, vignettes, etc.).

Wallet and top-ups. Where Wallet or Card top-ups are used, you can only spend available balance and must comply with minimum top-up amounts and limits shown in the Platform.

Reports. Transaction reports are informational and may be based on Partner data; they may not constitute accounting documents.

Blocking and security. You must protect card, PIN, and access data, block promptly if lost or compromised, and remain liable until notification or blocking is effective.

11.Promotional Communications (SMS / Email) and Opt-Out

Service messages vs marketing.

  • Service messages (required): booking confirmations, receipts, security alerts, legal notices, and operational messages. These may be sent without marketing consent.
  • Marketing messages (optional, where required by law): promotions, discounts, and special offers about WoopDrive services or partners.

Your marketing choice (EU and GCC compliant). If you opt in to marketing in the app (or where local law allows marketing based on an existing customer relationship with clear opt-out), you agree that WoopDrive may send you promotional messages by SMS and/or email about WoopDrive services, discounts, and special promotions. EU direct marketing commonly requires compliance with GDPR and ePrivacy rules. In the UAE, marketing practices commonly require explicit consent and support objection or withdrawal rights. In Saudi Arabia, implementing rules address stopping direct marketing upon consent withdrawal and providing opt-out mechanisms. How to stop marketing (anytime). For SMS, reply STOP to any promotional SMS. For email, click Unsubscribe in the footer of any promotional email. You may also contact hello@woopdrive.com to update preferences. Opt-out does not affect service messages. No impact on core service (where required by law). Where applicable law requires marketing consent to be freely given, marketing opt-in is not a condition for using core rental services.

12.Personal Data and Privacy

Privacy Policy. Our processing of Personal Data is described in the WoopDrive Privacy Policy (as updated from time to time).

Controllers and processors. Depending on the service, WoopDrive and/or Partners may act as controllers; some parties act as processors.

Cross-border transfers. We may transfer data internationally subject to lawful safeguards.

Your rights. You may have rights to access, correction, deletion, restriction, portability, and objection, subject to applicable law.

13.Intellectual Property, App License, and Acceptable Use

License. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose.

Restrictions. No reverse engineering, scraping, automated access, copying, circumvention of security, or misuse of APIs.

User content. If you upload content (photos, reports), you grant WoopDrive a license to use it for service operation, support, dispute resolution, and legal compliance.

14.Service Availability, Updates, and Changes

Availability. Services may be interrupted for maintenance, partner outages, telecom issues, or emergencies.

Updates. We may push app updates; older versions may stop working for security reasons.

Changes to Terms. We may change these Terms for legal, security, or business reasons. We will provide notice in the app or website and indicate the effective date. Continued use after the effective date means acceptance (subject to mandatory law).

15.Suspension and Termination

We may suspend or terminate your account if you breach Terms or Rental Agreement, fail verification, pose fraud or safety risk, fail to pay, misuse vehicles, or violate laws.

You may stop using the Platform at any time. Financial obligations incurred prior to termination remain payable.

16.Liability, Disclaimers, and Indemnity

Partner services. Vehicles and many goods or services are provided by Partners; their terms apply and they may bear primary responsibility for supply or quality.

No guarantee. To the extent permitted by law, the Platform is provided "as is" and "as available".

Limitation of liability. To the maximum extent permitted by law, WoopDrive's liability is limited to direct damages and capped at the Fees you paid to WoopDrive in the 3 months preceding the event giving rise to the claim.

No limitation for gross fault. Nothing limits liability for intentional misconduct, gross negligence, death or personal injury where unlawful to limit, or mandatory consumer rights.

Indemnity. You agree to indemnify WoopDrive for claims arising from your unlawful use, breach, or misconduct, except where caused by WoopDrive's fault.

17.Complaints and Dispute Resolution (EU and GCC Ready)

Customer support first. Send complaints to hello@woopdrive.com with details and evidence.

Good-faith negotiations. Parties attempt to resolve disputes within 30 days.

EU consumers (ADR / ODR where applicable). Where mandatory EU consumer rules apply, you may have rights to out-of-court dispute resolution via competent authorities.

Businesses. Business disputes go to the competent court or arbitral forum as described below.

18.Governing Law and Jurisdiction (Regional Approach)

To align with EU and GCC mandatory law without over-promising country-by-country licensing:

General rule. This Agreement is governed by the law of the country specified below subject always to mandatory consumer protection rules of your country of residence and any mandatory rules in the country where the service is provided.

If you are a consumer habitually resident in the EEA, UK, or Switzerland: governing law is Lithuania (or, if you prefer corporate seat consistency, Estonia, choose one and keep it consistent across STC and Privacy Policy). Jurisdiction: competent courts of Lithuania (or Estonia), without prejudice to your right to bring proceedings in your country of residence where mandatory law provides.

If you are a consumer habitually resident in a GCC country (e.g. UAE, KSA, Qatar, Bahrain, Kuwait, Oman): governing law is the law of the country where the relevant service is supplied (often the booking or vehicle location) and/or where WoopDrive's relevant contracting entity is established, subject to mandatory local consumer protection and data or privacy laws. Jurisdiction: competent courts in that country (or another forum required or allowed by mandatory local law).

Mandatory law prevails. Nothing in these Terms limits rights that cannot be excluded under applicable EU or GCC law.

19.Notices and Electronic Communications

Notices may be delivered by in-app notification, email, SMS, or posting in your account.

You must keep your contact details current. Notices are effective when sent to the latest details you provided.

20.Miscellaneous

Severability. If any clause is invalid, the rest remains effective.

Assignment. You may not assign your rights or obligations without our consent; we may assign as part of corporate restructuring or asset transfer, subject to mandatory law.

Entire agreement. These Terms plus any STC plus booking terms plus Rental Agreement form the agreement for the relevant Services.

Language. If translations exist, the English version prevails unless mandatory local law requires otherwise.
